This Content License Agreement (“Agreement”) is entered into on the date of acceptance by both parties (hereinafter referred to as the “Effective Date“), by and between:

GoKannada, a content streaming platform (hereinafter referred to as the “Licensee“),

AND

The Content Owner (hereinafter referred to as the “Licensor“), whose identity and other details are captured during the submission process.

Collectively referred to as the “Parties.“

1. Parties

This Agreement is between:

• Licensee: GoKannada, a content streaming platform.

• Licensor: An individual or entity whose name and business details are captured during the submission and maintained in Licensee records.

2. Recitals

• WHEREAS, the Licensor is the sole owner of, or holds all necessary rights to, the content, including but not limited to videos, films, images, audio recordings, and music (collectively, the “Content”);

• WHEREAS, the Licensee desires to obtain a license to stream or otherwise use the Content on its platform, and the Licensor is willing to grant such a license under the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the sufficiency of which is hereby acknowledged, the Parties agree as follows:

3. Scope of License

The Licensor hereby grants the Licensee a non-exclusive, worldwide, royalty-free, irrevocable license to embed, stream, display, and distribute the Content through GoKannada and its associated platforms, including mobile applications.

This includes:

• For Content hosted on YouTube: The Licensee may embed the provided YouTube video links directly within the app.

• For Content not hosted on YouTube: The Licensor may submit video files to the Licensee, who may upload them to GoKannada’s official YouTube channel or host them directly. Specifically, this license includes the right to distribute the content through the GoKannada mobile app available on the Apple App Store (iOS platform), Google Play Store (Android), and associated digital channels.

Additionally, the Licensor confirms that they have willingly agreed to grant rights to stream both their **existing content** and any **upcoming content** they may submit in the future, under the same terms and conditions of this Agreement.

4. Geographical Area

The Parties agree that the Content may be streamed, replayed, and displayed within the state of Karnataka, across other states in India, and internationally.

5. Exclusivity

The license is non-exclusive. The Licensee may stream and display the original, non-copied Content solely for entertainment purposes. The Licensee agrees not to sell, alter, or use the Content beyond the scope of this Agreement.

6. Quality Control and Compliance

The Licensee agrees to:

• Maintain the original quality of the Content provided.

• Adhere to applicable laws and compliance standards under the Indian IT Act, 2000.

• Not edit, alter, or recreate the Content, and only use it for the agreed purposes.

7. Rights and Obligations

Licensee’s Rights and Obligations:

• Granted a non-exclusive, non-transferable right to stream the Content through its app.

• Will not replicate, imitate, or create derivative works based on the theme of the Content.

• Will not duplicate or reproduce the Content except as permitted.

Licensor’s Responsibilities:

• Ensure uninterrupted access to the Content.

• Maintain its availability to the intended audience.

• Ensure compliance with laws in all applicable jurisdictions.

8. Intellectual Property Rights

All rights and ownership, including intellectual property rights (IPR), remain with the Licensor. The Licensee acknowledges no transfer of ownership.

9. Force Majeure

Neither Party shall be liable for delays due to causes beyond their control, including natural disasters, war, or network failures.

10. Monetization

The Licensee may monetize its platform through ads, sponsorships, or subscriptions. The Licensor agrees:

• To provide Content without charge.

• That submission is voluntary in exchange for reach and visibility.

11. Governing Law

This Agreement shall be governed by the laws of Karnataka, India. Disputes shall be subject to the jurisdiction of courts in Bengaluru, Karnataka.

12. Dispute Resolution

• Good-faith negotiation

• Mediation (if not resolved within 90 days)

• Arbitration (if not resolved within 120 days)

• Court action in Bengaluru if all else fails

• Interim court relief allowed during the process

13. Term & Termination

Effective upon signing and remains in effect until terminated.- Either Party may terminate with 30 days’ written notice.- Content will be removed within 30 days of termination.
